Ohio Atlas Corporation

Ohio Atlas Corporation was a profitable construction company providing specialized services to the coal mining industry. With the aid of Capital Alliance, it sold its business to Jacobs Engineering Group, a publicly traded engineering and construction firm focusing on the chemical, petroleum, mineral, and energy industries. ??

Ohio Atlas Corporation built a leadership position in constructing openings for coal mines and coal mining shafts. When the primary shareholder of the company sought to liquidate his stock, he called upon Capital Alliance.

The nature of Ohio Atlas’ niche industry limited the candidate pool for acquiring companies. Upon a diligent study of the coal mining industry and its future, Capital Alliance prepared convincing background information on the selling company. Within a few months, following a confidential, comprehensive search, Capital Alliance established four meetings with financially qualified and operationally similar acquirers. Capital Alliance engaged each bidder simultaneously, driving the price upwards. Ultimately, the selling shareholders chose a large public company with substantial resources.

Due to competitive bidding, Capital Alliance negotiated very attractive terms, including cash at closing, promissory notes, and continuing employment agreements. The transaction closed just seven months after Ohio Atlas formally engaged Capital Alliance.
